End User License Agreement

1. Agreement to Terms

This End User License Agreement ("EULA") is a legal agreement between you ("User," "you," or "your") and BeBetter Sport ("we," "our," "us," or "Company") for the use of our software, applications, website, mobile applications, and related services (collectively, the "Service").

By accessing, downloading, installing, or using the Service, you agree to be bound by the terms and conditions of this EULA. If you do not agree to these terms, you may not access or use the Service.

This EULA supplements and is incorporated into our Terms and Conditions. In the event of any conflict between this EULA and the Terms and Conditions, this EULA shall govern with respect to licensing matters.

2. License Grant

Subject to your compliance with this EULA and our Terms and Conditions, BeBetter Sport grants you a limited, non-exclusive, non-transferable, revocable, non-sublicensable license to:

  • Access and use the Service for your personal, non-commercial use
  • Download and install our mobile applications on devices that you own or control
  • Use the Service in accordance with the documentation and guidelines provided by us

This license is granted solely for the purpose of enabling you to use and enjoy the benefits of the Service as provided by BeBetter Sport.

3. License Restrictions

You may NOT:

  • Copy, modify, adapt, alter, translate, or create derivative works of the Service
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices on or in the Service
  • Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Service or any features or functionality of the Service to any third party
  • Use the Service for any commercial purpose without our express written consent
  • Use the Service in any manner that violates applicable laws, regulations, or third-party rights
  • Use any automated system, including "robots," "spiders," or "offline readers," to access the Service in a manner that sends more request messages to our servers than a human can reasonably produce in the same period
  • Interfere with or disrupt the integrity or performance of the Service or any third-party data contained therein
  • Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service
  • Transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature

4. Intellectual Property Rights

The Service, including but not limited to all software, code, text, graphics, logos, images, audio clips, digital downloads, data compilations, and other materials, is the property of BeBetter Sport or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

All rights, title, and interest in and to the Service, including all intellectual property rights, remain with BeBetter Sport and its licensors. This EULA does not grant you any ownership rights in the Service.

The BeBetter Sport name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of BeBetter Sport or its affiliates or licensors. You may not use such marks without our prior written permission.

5. User Content

You retain ownership of any content you upload, post, or share through the Service ("User Content"). However, by uploading User Content, you grant BeBetter Sport a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display such User Content in connection with the Service.

You represent and warrant that you own or have the necessary rights, licenses, consents, and permissions to grant the license described above and that your User Content does not violate any third-party rights or applicable laws.

6. Updates and Modifications

BeBetter Sport may, at its sole discretion, provide updates, upgrades, patches, enhancements, or modifications to the Service (collectively, "Updates"). Updates may include bug fixes, security patches, new features, or other improvements.

We may require you to install Updates to continue using the Service. By installing or using Updates, you agree to be bound by this EULA as it applies to such Updates.

BeBetter Sport reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

7. Third-Party Services and Content

The Service may integrate with, link to, or provide access to third-party services, applications, websites, or content (collectively, "Third-Party Services"). Your use of Third-Party Services is subject to the terms and conditions and privacy policies of such third parties.

BeBetter Sport does not endorse, control, or assume responsibility for any Third-Party Services. We are not responsible for the content, privacy practices, terms of service, or any other aspect of Third-Party Services.

Your interactions with Third-Party Services are solely between you and the third party. BeBetter Sport shall not be liable for any loss or damage resulting from your use of or reliance on Third-Party Services.

8. Termination

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any term of this EULA or our Terms and Conditions.

BeBetter Sport may terminate this license at any time, with or without cause, by providing notice to you. Upon termination:

  • All rights granted to you under this EULA will immediately cease
  • You must cease all use of the Service
  • You must delete or destroy all copies of the Service and related materials in your possession or control
  • All provisions of this EULA that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF PERFORMANCE.

BeBetter Sport does not warrant that:

  • The Service will meet your requirements or expectations
  • The Service will be uninterrupted, timely, secure, or error-free
  • Any defects or errors in the Service will be corrected
  • The Service is free of viruses or other harmful components

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BEBETTER SPORT, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, Trojan horses, or the like that may be transmitted to or through the Service
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless BeBetter Sport and its affiliates, directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:

  • Your use of the Service
  • Your violation of this EULA or our Terms and Conditions
  • Your violation of any rights of another party
  • Your User Content
  • Any activity related to your account

12. Export Restrictions

The Service may be subject to export and import laws and regulations. You agree to comply with all applicable international and national laws that apply to the Service, including the Export Administration Regulations, as well as end-user, end-use, and destination restrictions issued by U.S. and other governments.

13. Governing Law and Dispute Resolution

This EULA shall be governed by and construed in accordance with the laws of the jurisdiction in which BeBetter Sport operates, without regard to its conflict of law provisions.

Any disputes arising out of or relating to this EULA or the Service shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration organization, except where prohibited by law.

14. Changes to This EULA

BeBetter Sport reserves the right to modify or replace this EULA at any time at our sole discretion. If we make material changes, we will notify you by posting the new EULA on this page and updating the "Last updated" date.

Your continued use of the Service after any changes to this EULA constitutes acceptance of those changes. If you do not agree to the modified EULA, you must stop using the Service and terminate your account.

15. Severability

If any provision of this EULA is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

This EULA, together with our Terms and Conditions and Privacy Policy, constitutes the entire agreement between you and BeBetter Sport regarding the licensing and use of the Service and supersedes all prior agreements and understandings.
